Terms & Conditions

These Terms & Conditions ("Terms") govern your use of CharterPass ("CharterPass", "we", "us"), a digital membership and loyalty platform for Hong Kong organizations and merchants. By creating an account or using the service, you agree to these Terms. If you are using CharterPass on behalf of an organization or business, you confirm you are authorised to bind it.

1. Accounts

You must give accurate information when you register and keep your login secure. You are responsible for activity under your account. You must be old enough to enter a contract under Hong Kong law, or be registered by an organization authorised to do so on your behalf.

2. The service

CharterPass lets organizations issue digital member passes, run events with QR check-in, broadcast updates and manage a member roster, and lets merchants run stamp cards, points, rewards and member offers. We provide the platform; the membership relationship, and any membership fee, is between you and your organization.

3. Organizations and merchants

If you operate an organization or merchant account, you are responsible for the accuracy of what you publish, for the lawful handling of your members' and customers' data, for honouring the perks, rewards and memberships you offer, and for setting and collecting any fees you charge your own members. You must have the right to use any names, logos and content you upload.

4. Acceptable use

You agree not to:

• Use CharterPass for any unlawful or fraudulent purpose;
• Upload content that is illegal, infringing, misleading or harmful;
• Attempt to access accounts, data or systems you are not authorised to access, or to disrupt or reverse-engineer the service;
• Misuse QR codes, passes, stamps, points or rewards — including forging, duplicating or redeeming them dishonestly.

5. Fees and payment

Membership is free for members. Free plans for organizations and merchants are described on our pricing page. Paid plans are billed monthly or annually in advance in Hong Kong dollars and, unless stated otherwise, are non-refundable for the current period. You can upgrade, downgrade or cancel at any time; changes take effect from the next billing period. We may change plan prices with reasonable notice, and eligibility for education or charity rates is at our discretion and subject to verification.

6. Intellectual property

CharterPass and its software, branding and design are owned by us. You keep ownership of the content you upload, and grant us the licence needed to host and display it to operate the service. You may not copy or resell the platform itself.

7. Availability

We work to keep CharterPass available and reliable but do not guarantee uninterrupted service. We may update, suspend or withdraw features, and may carry out maintenance that temporarily affects access.

8. Disclaimers and liability

The service is provided "as is". To the extent permitted by law, we exclude implied warranties and are not liable for indirect or consequential loss, or for loss arising from an organization's or merchant's own conduct, offers or fees. Nothing in these Terms excludes liability that cannot be excluded under Hong Kong law. Where we are liable, our total liability is limited to the fees you paid us in the twelve months before the claim.

9. Suspension and termination

You may stop using CharterPass and close your account at any time. We may suspend or terminate an account that breaches these Terms or is used unlawfully. On termination, your right to use the service ends; parts of these Terms that are meant to survive (such as liability and governing law) continue to apply.

10. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, and you submit to the exclusive jurisdiction of the Hong Kong courts.

11. Changes

We may update these Terms as the service evolves. We will change the "last updated" date above and, for significant changes, notify you in the app. Continuing to use CharterPass after a change means you accept the updated Terms.
